SAN RAMON, Calif.--(BUSINESS WIRE)--Aug. 18, 2026-- Five9, Inc. (Nasdaq: FIVN) (“Five9” or the “Company”) today announced that on August 13, 2026, the Company granted a restricted stock unit award (the “RSU”) covering 26,982 Shares to Sarah Bennett (the “Inducement Award”). The Compensation Committee of the Board of Directors of the Company approved the grant of the Inducement Award, which was offered as a material inducement to Ms. Bennett entering into employment with the Company, as the Vice President, Revenue Strategy & Operations, effective as of July 20, 2026. The Inducement Award was granted under the Five9, Inc. 2026 Inducement Equity Incentive Plan. 1/3 of the RSUs will vest on September 3, 2027, and 1/12 of the RSUs will vest quarterly thereafter, so that the RSUs are fully vested on September 3, 2029, subject to the employee’s continuous service through the applicable vesting date.

The award was granted in reliance on the employment inducement exemption under the Nasdaq Stock Market Listing Rule 5635(c)(4), which requires public announcement of inducement awards. The Company is issuing this press release pursuant to Listing Rule 5635(c)(4).
